Terms of Service

These Terms are published as a template that has been prepared in line with general UAE consumer and commercial practice. They are not legal advice. Before going live, please have them reviewed by qualified UAE legal counsel.

1. Agreement to these Terms

These Terms of Service (the “Terms”) form a legally binding agreement between you and Grafx Media House (“Grafx”, “we”, “us”) and govern your use of grafx.ae and any related Grafx services — including the chatbot assistant, contact and inquiry forms, gated downloads, and the career application form (the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. About Grafx and the Services

Grafx Media House is registered in the Emirate of Dubai, United Arab Emirates. Grafx is a strategy-led and technology-driven agency offering AI, business development, creative and digital services to industrial and enterprise clients.

grafx.ae is our marketing and engagement website. It provides information about our services, lets you contact us, hosts downloadable resources, and runs an AI-powered chatbot assistant that can answer questions about Grafx and pass your details to our team if you ask to be contacted.

3. Eligibility

The Services are intended for business and professional audiences aged 18 or older. By using the Services you confirm that you meet this requirement and have the legal capacity to enter into these Terms (or that you do so on behalf of an entity with such authority).

4. Acceptable use

You agree not to:

  • use the Services for any unlawful purpose, or in any way that infringes the rights of others or violates applicable UAE law;
  • gain or attempt to gain unauthorised access to the Services, the admin dashboard, or any related systems or data;
  • reverse engineer, decompile, scrape or systematically crawl the site beyond what is expressly permitted by our robots.txt file or our published terms;
  • upload or submit content that is harmful, defamatory, abusive, fraudulent, misleading, infringes intellectual property rights, or violates the dignity, privacy or rights of any person;
  • use the chatbot to extract our underlying system prompts, bypass content policies, or generate content that violates applicable laws or these Terms;
  • probe, abuse or attempt to circumvent the rate limits or security controls on any public endpoint; or
  • use the Services in any way that could damage, disable, overburden or impair them.

5. The Grafx Assistant (chatbot)

The chatbot uses large-language-model technology to generate replies in real time. We try to keep its answers accurate and grounded in Grafx's own published material, but generative AI can be incorrect, incomplete or out of date. Treat the assistant's answers as informational only — not as professional advice, a quote, an offer, or a binding commitment from Grafx.

Anything you tell the assistant may be reviewed by Grafx for service quality and lead-handling purposes (see our Privacy Policy). Please do not share confidential, sensitive, or proprietary information with the assistant that you would not want a Grafx team member to read.

6. Intellectual property

All content on grafx.ae — including text, design, graphics, code, images, video, brand marks, the Grafx name and logo, and the Grafx Assistant's system design — is owned by Grafx Media House or our licensors and is protected by applicable copyright, trademark, and other intellectual-property laws of the UAE and other jurisdictions.

You may view and download content for personal, internal business evaluation. You may not copy, reproduce, modify, distribute, publicly display, frame, sell or commercially exploit any content from the Services without our prior written consent. Any unauthorised use immediately terminates the limited permissions granted by these Terms.

7. Your submissions and feedback

When you submit content through the Services — a message, a contact form, a CV, a chatbot conversation, feedback or suggestions — you grant Grafx a non-exclusive, royalty-free, worldwide licence to use, store, reproduce, analyse and act on that content for the purpose of operating the Services, replying to you, evaluating your application or interest, and improving our offerings. You confirm that you are entitled to grant this licence and that your submission does not infringe any third-party right.

Any feedback, idea or suggestion you send us is non-confidential and may be used by Grafx without obligation or compensation.

8. Third-party services

The Services rely on third-party platforms (such as Anthropic, OpenAI, Supabase, Resend, DataForSEO and our hosting provider) to function. The Services may also link to third-party websites for your convenience. We do not control and are not responsible for the content, accuracy or availability of third-party services or their privacy practices. Your use of any third-party service is subject to that party's own terms.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis. We do not warrant that the Services will be uninterrupted, error-free or secure; that any defects will be corrected; or that any content or chatbot output is accurate, complete, current or reliable.

To the maximum extent permitted by applicable law, Grafx disclaims all warranties, conditions and representations of any kind — whether express, implied or statutory — including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by applicable law, neither Grafx nor any of its affiliates, directors, employees, agents or service providers will be liable to you for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunity, arising out of or related to your access to or use of the Services — even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or in connection with the Services will not exceed United Arab Emirates Dirhams one thousand (AED 1,000). Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable UAE law.

11. Indemnification

You agree to indemnify and hold harmless Grafx and its affiliates, directors, employees and agents from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your misuse of the Services, (c) your violation of any law, or (d) your violation of any third-party right.

12. Termination

We may suspend or terminate your access to the Services at any time, without notice, if we reasonably believe you have breached these Terms, that continued access poses a security or operational risk, or that we are required to do so by law. Sections that by their nature should survive termination — including intellectual property, your submissions, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — will survive.

13. Force majeure

Neither party will be liable for any failure or delay in performing under these Terms to the extent caused by events beyond its reasonable control — including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government acts, internet or telecommunications outages, or the failure of third-party services on which the Services depend.

14. Governing law

These Terms and any dispute arising out of or in connection with the Services are governed by the federal laws of the United Arab Emirates and, to the extent applicable, the laws of the Emirate of Dubai, without regard to conflict-of-law principles.

15. Dispute resolution and jurisdiction

The parties will first try in good faith to resolve any dispute by negotiation. If a dispute remains unresolved sixty (60) days after written notice from one party to the other, either party may submit the dispute to the exclusive jurisdiction of the courts of the Emirate of Dubai (onshore Dubai Courts), unless mandatory law provides otherwise.

16. Severability and waiver

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date above and, for material changes, draw your attention to them on the site. Your continued use of the Services after a change means you accept the updated Terms.
